Business and Share valuations
There are a number of reasons clients want a valuation of a business or shares in a company including:
- Setting the sale price for the business or shares
- Establishing fair market value prior to purchasing a business or shares
- Determining a value for a shareholder dispute
- Settling a relationship property dispute involving a business or shares in a company owning a business or other assets
- Supporting a capital raising or lending
- Family arrangements
- Establishing a base for performance management systems
We have lead valuations of a wide number of businesses from the very small to very large entities, including mature businesses and start-ups, professional practices, businesses involved in manufacturing, primary production, import/distribution, export, retail, IT and businesses operating in the digital space.
We have experience valuing minority interests in companies which typically trade at a discount to pro-rata value.
Section 15 Economic Disparity Claims
We have often been instructed to prepare an opinion or critique another expert’s opinion on the quantum of economic disparity pursuant to section 15 of the Property (Relationships) Act. John acted in one of the earliest cases in the Family Court and has appeared in Court on a number of occasions.
Forensic accounting investigations
In relationship property proceedings there are a number of areas requiring investigation. We are seeing increased use of section 182 of the Family Proceedings Act 1980 where we are often briefed to examine accounting records and financial statements to establish grounds to bust a nuptial settlement involving a trust.
Forensic accounting services are often required where Trusts are involved and one party is seeking to claim the trust assets as relationship property or claims under section 9 where proof is required that relationship property has been used to enhance separate property.
We are often called on to conduct an investigation where one party to the relationship is accused of hiding assets or claims that an asset is separate property.
Where there are complicated structures we are often briefed to assist the legal team in unravelling the complexity and determining the quantum of the relationship property pool.
Assessment of loss
Loss assessments typically arise as a result of an insurance event, a dispute usually around an alleged breach of contract or misrepresentation or compensation under the Public Works Act where land is compulsorily acquired by the Crown
We have acted for a number of parties where compensation is payable under the Public Works Act including a large sand mining operation, an equine training facility, a horticulture business and an animal lodge. We have taken the lead role in negotiating with the agent of the Crown as well as assessing the business loss.
